Terms & Conditions
These terms govern every design, branding and development engagement between you and Crestova Tech.
Plain-English summary: we agree a scope and a price in writing before work starts; you pay a deposit to reserve studio time; you own the approved work once the final invoice is paid; and either side can end the engagement with written notice. The full terms below are what actually apply.

1. Agreement to these terms
These Terms & Conditions (“Terms”) form a binding agreement between you (“you”, “the Client”) and Crestova Tech (“we”, “us”, “the Studio”), whose registered place of business is 5900 Balcones Drive, Suite 100, Austin, TX 78731, United States.
By requesting a quote, approving a proposal, paying a deposit or otherwise instructing us to begin work, you confirm that you have read, understood and accepted these Terms. If you are agreeing on behalf of a company, you confirm that you are authorised to bind that company.
Placeholders to complete before publishing: legal entity name and registration number [e.g. Crestova Tech LLC — registration no. …], tax identification number […], and any additional trade address.
2. Definitions
- “Deliverables” — the designs, files, documents and code we produce for you under an agreed scope.
- “Project” — a specific piece of work described in a written proposal or statement of work.
- “Retainer” — an ongoing arrangement with reserved hours per month.
- “Business Day” — Monday to Friday, excluding public holidays in Texas, USA.
- “Feedback” — written comments, approvals or change requests you provide.
3. Our services
We provide design and technology services including brand identity and strategy, logo design, website design and development, UI/UX design, packaging and print design, social media creatives, motion graphics and SEO support. Service descriptions on our website are indicative; the definitive scope for your engagement is the written proposal we send you.
We are a professional services studio, not a law firm, accounting firm or marketing agency of record. Nothing we produce constitutes legal, financial or tax advice. All third-party copy, claims, offers and compliance statements you ask us to publish remain your responsibility.
4. Proposals, scope & quotes
- Quotes are valid for 30 days from the date of issue unless stated otherwise.
- A Project begins when you accept the proposal in writing and the deposit has cleared.
- Work outside the agreed scope is handled as a change request under section 7.
- Estimates of timelines are made in good faith but depend on timely feedback from you.
5. Fees & payment
- Projects are invoiced as a 50% deposit to reserve studio time and a 50% balance before final files, deployment or handover.
- Retainers are invoiced monthly in advance.
- Invoices are payable within 7 days unless the proposal states otherwise.
- Late payments may pause active work and may attract a late fee of up to 1.5% per month where permitted by law.
- All fees are quoted in US dollars and are exclusive of applicable taxes, if any.
- Third-party costs (domains, hosting, licences, fonts, stock assets, printing, ad spend) are billed at cost or paid directly by you, and are non-refundable once incurred.
6. Your responsibilities
- Provide briefs, brand assets, credentials, content and approvals in a timely way.
- Nominate one decision-maker who can consolidate feedback and give final sign-off.
- Ensure you hold the rights to any material you send us (text, images, fonts, logos).
- Ensure that content we publish at your instruction is accurate and lawful.
- Respond to requests for feedback within 5 Business Days so schedules stay realistic.
Where delays on your side exceed 30 days, we may reschedule the project and may re-quote affected work if studio availability or input costs have changed.
7. Revisions & change requests
Unless your proposal states otherwise, each project includes two rounds of revisions on the chosen concept. A revision round means a single consolidated set of feedback from your nominated decision-maker.
Additional revisions, new directions, or structural changes after approval are quoted separately at our standard studio rate and confirmed by e-mail before we proceed.
8. Intellectual property
- Your ownership: upon receipt of full payment, you receive ownership of the final approved Deliverables, including source files, for unlimited commercial use.
- Our ownership: we retain ownership of all concepts, drafts, rejected routes, working files, tools and internal methods not included in the final handover.
- Our brand: our own name, logo, website content and templates remain our property and may not be reused without written permission.
- Third-party components: fonts, icons, stock photography, plugins and open-source code remain subject to their own licences, which are your responsibility to maintain after handover.
9. Portfolio & marketing rights
Unless you tell us in writing not to, we may display the finished work in our portfolio, case studies, social channels and award submissions, with a short factual credit. We will not disclose confidential business information, financial data or unreleased products in that material.
10. Third-party assets & licences
Where a project requires commercial fonts, stock imagery, premium plugins or platform subscriptions, we will list them in the proposal. Licences are purchased in your name wherever possible. We are not responsible for licence renewals, price changes or discontinuation by third-party vendors after handover.
11. Confidentiality
Each party will keep the other's non-public information confidential and use it only to perform the engagement. This obligation survives the end of the agreement and applies to business plans, pricing, customer data, credentials and unreleased materials. Where a separate non-disclosure agreement has been signed, that document takes precedence.
12. Hosting, domains & maintenance
- Domains and hosting accounts are registered in your name wherever the platform allows it.
- We do not sell hosting. Where we recommend or configure a provider, the provider's own terms apply.
- Post-launch support is included for 30 days for defects in our work. New features, content changes and updates are quoted or covered by a care plan.
- We are not liable for outages, data loss, security incidents or price changes caused by third-party hosting, platforms or plugins.
13. Warranties
We warrant that we will perform the services with reasonable professional skill and care, that Deliverables will materially match the approved brief, and that we will not knowingly incorporate third-party material we have no right to use.
Except as stated above, all services and Deliverables are provided without further warranties, express or implied, including fitness for a particular purpose. We do not guarantee specific commercial results such as sales volumes, search rankings, follower growth or conversion rates, as those depend on factors outside our control.
14. Limitation of liability
To the maximum extent permitted by law, our total aggregate liability arising out of or relating to the engagement is limited to the total fees actually paid to us for the Project concerned. Neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or business opportunity.
Nothing in these Terms limits liability that cannot lawfully be limited, including liability for fraud, wilful misconduct or death or personal injury caused by negligence.
15. Term & termination
- By you: with 14 days' written notice. You remain liable for work completed and third-party costs incurred up to the termination date.
- By us: if an invoice remains unpaid for more than 14 days, if a request is unlawful or abusive, or with 14 days' written notice.
- On termination, ownership of partially completed Deliverables transfers only if all outstanding invoices are settled.
- Retainers may be cancelled with 30 days' written notice.
Refunds and cancellations are governed by our Refund & Return Policy, which forms part of these Terms.
16. Force majeure
Neither party is liable for delay or failure caused by events beyond reasonable control, including natural disasters, internet or utility outages, platform or vendor failures, industrial action, epidemics or government action. Affected deadlines are extended by the duration of the event.
17. Governing law & disputes
These Terms are governed by the laws of the State of Texas, United States, without regard to conflict of law rules. Before starting formal proceedings, both parties agree to attempt to resolve any dispute through good-faith discussion for at least 30 days. If that fails, the courts of Travis County, Texas have exclusive jurisdiction, unless mandatory consumer protection law in your country of residence gives you the right to sue locally.
18. Changes to these terms
We may update these Terms to reflect changes in our services or the law. The version in force at the time your proposal is accepted governs that engagement. Material changes will be reflected in the “Last updated” date above and, where relevant, communicated by e-mail.
